Business Terms and Conditions

These Business Terms and Conditions (“Business Terms”) govern the purchase and use of products and services supplied by SimplySIM Solutions Ltd, trading as SimplySIM (“SimplySIM,” “we,” “us,” or “our”), by companies, organisations, sole traders and other customers acting wholly or mainly for business purposes.

These Business Terms apply to business accounts, bulk purchases, volume-priced orders and purchases of eSIMs for employees, workers, contractors, representatives or business devices. By applying for a business account, accepting a quotation, placing an order or using our Services, you agree to be bound by these Business Terms.

Consumer purchases made wholly or mainly for personal use are governed by our separate consumer Terms and Conditions.

1. Definitions
  • “Account Administrator”: A person authorised by the Customer to manage its Business Account.
  • “Authorised User”: An employee, worker, contractor, representative or other person authorised by the Customer to use an eSIM purchased through its Business Account.
  • “Business Account”: An account approved by SimplySIM for commercial or organisational use.
  • “Customer,” “you,” or “your”: The business, company, partnership, sole trader, charity, public body or other organisation purchasing or using the Services.
  • “Data Plan”: The mobile data allowance, validity period, geographical coverage and other service features associated with an eSIM.
  • “eSIM”: A digitally supplied SIM profile that allows a compatible device to connect to supported mobile data networks without a physical SIM card.
  • “Order”: An order for an eSIM, Data Plan or related Service.
  • “Services”: Our eSIMs, Data Plans, Business Account facilities, dashboards, support services and associated digital services.
  • “Website”: Any official SimplySIM website, dashboard, application or online platform operated by us.
2. Business Eligibility and Account Approval
  • You must be purchasing the Services for legitimate business or organisational purposes.
  • The person applying for or managing a Business Account confirms that they are at least 18 years old and authorised to enter into contracts and place Orders on behalf of the Customer.
  • We may request the Customer’s legal name, company registration details, addresses, tax details, billing information, expected volumes, intended use and evidence of identity, authority or business activity.
  • Business Account approval is at our discretion. We may refuse, restrict, suspend or withdraw an account where information is incomplete, inaccurate or misleading, or where we identify an unacceptable fraud, credit, legal, regulatory or commercial risk.
  • Approval of a Business Account does not oblige us to accept every subsequent Order.
3. Contract Formation
  • An Order is an offer by the Customer to purchase the Services.
  • A binding contract is formed when we accept the Order, issue an invoice confirming it, make the eSIM available, send installation details or otherwise begin providing the Services.
  • An automated acknowledgement does not necessarily constitute acceptance.
  • Any Customer purchase-order terms, procurement terms or other standard terms will not apply unless expressly accepted by us in writing.
  • If there is a conflict, a specifically negotiated written agreement takes precedence over an accepted quotation or Order form, which takes precedence over these Business Terms.
4. Service Description
  • Data Only: Unless expressly stated otherwise, SimplySIM eSIMs provide mobile data only and do not include a UK or local telephone number, traditional voice calls or SMS messages.
  • Internet Calling: Internet-based calling and messaging applications may be used where supported by the application, device and available data connection.
  • Coverage: Coverage is limited to the countries, territories and networks listed for the purchased Data Plan.
  • Validity: A Data Plan may begin upon installation, activation or first connection to a supported network, as stated in the product description.
  • Expiry: A Data Plan ends when its validity period expires or its included data is used, whichever occurs first.
  • The Customer must check the destination, coverage, allowance, validity and activation requirements before ordering.
5. Device Compatibility
  • The Customer is responsible for ensuring each intended device supports eSIM technology, is network-unlocked, has suitable software and is compatible with the relevant eSIM and local networks.
  • The Customer must check that the device is not subject to manufacturer, network, employer, regional or other restrictions that prevent installation or use.
  • Purchase of an eSIM does not guarantee compatibility with a particular device.
  • We are not responsible for failure caused by an incompatible, locked, restricted, damaged, incorrectly configured or unsupported device.
6. Account Administration and Security
  • The Customer is responsible for appointing suitable Account Administrators and controlling access to the Business Account.
  • Login details must be kept secure and access must be removed promptly when a person is no longer authorised.
  • The Customer is responsible for maintaining accurate account, contact and billing information.
  • Actions taken through the Business Account will be treated as authorised unless the Customer notifies us of suspected unauthorised access without unreasonable delay.
  • The Customer must promptly report compromised credentials, suspected fraud, unauthorised Orders, misuse or security incidents.
  • We may suspend access or require security details to be reset where reasonably necessary.
7. Allocation to Employees and Other Users
  • The Customer may allocate eSIMs purchased through its Business Account to Authorised Users for its internal business purposes or as an approved employee benefit.
  • The Customer remains responsible for selecting users, securely distributing installation information, providing instructions, obtaining any necessary permissions and ensuring compliance with these Business Terms.
  • The Customer remains liable for all charges, acts and omissions arising through its Business Account and Authorised Users.
  • Authorised Users do not become direct contractual customers of SimplySIM merely because an eSIM has been allocated to them.
  • The Customer must not sell, advertise, sublicense or commercially distribute the Services to its own customers or unrelated third parties.
  • Resale, white-labelling, marketplace distribution or incorporation into another commercial product requires a separate written Reseller or Partner Agreement.
8. Orders, Quantities and Availability
  • All Orders are subject to availability, supplier availability, fraud checks, payment approval and acceptance by us.
  • We may impose minimum or maximum Order quantities, account limits, transaction limits, usage limits, credit limits or country-specific restrictions.
  • We may reject or cancel an Order before delivery where a product is unavailable, payment fails, pricing or product information is clearly incorrect, or we reasonably suspect fraud, misuse or unlawful activity.
  • We may also reject or cancel an Order where fulfilment would breach legal, regulatory, sanctions or supplier requirements.
  • If we cancel an Order before supplying the relevant eSIM, we will refund the amount paid for that cancelled item.
9. Digital Delivery
  • eSIMs may be delivered by email, dashboard, QR code, installation link, API or another agreed electronic method.
  • Delivery is complete when the eSIM, QR code, activation information or installation link is sent to the Customer, sent to an authorised recipient or made available through the Business Account.
  • The Customer is responsible for providing correct contact details and ensuring that email security, spam filtering and authorised-recipient settings permit delivery.
  • The Customer must promptly check each delivery and report any apparent error.
10. Installation and Activation
  • The Customer and its Authorised Users must follow all installation and activation instructions.
  • This may include installing the correct eSIM, selecting it for mobile data, enabling data roaming, entering the correct APN, restarting the device and selecting an available network.
  • An eSIM may be restricted to installation on one compatible device.
  • Unless expressly confirmed otherwise, an installed eSIM cannot be transferred to another device.
  • Deleting an installed eSIM may permanently remove it and may require the purchase of a replacement.
  • The Customer must not install an eSIM too early where installation may begin the plan’s validity period.
11. Network Coverage and Availability
  • SimplySIM relies on third-party mobile operators, roaming partners, eSIM platforms and telecommunications suppliers.
  • Coverage maps, network names, available technologies and estimated speeds are indicative only.
  • Actual service depends on local network availability, signal strength, congestion, location, buildings, device capability, maintenance, local regulations, roaming arrangements and fair-use controls.
  • We do not guarantee uninterrupted coverage, a particular network, continuous 4G or 5G service, minimum speeds, latency levels or suitability for a particular business-critical activity.
  • Networks and supported operators may change where reasonably necessary without prior notice.
  • The Services must not be relied upon as the sole means of communication for emergencies, healthcare, security systems, safety-critical operations or other circumstances where loss of connectivity could cause serious harm.
12. Data Allowances and Fair Use
  • Fixed-data plans end when the included allowance is used or the validity period expires, whichever occurs first.
  • Plans described as unlimited may be subject to a Fair Usage Policy, daily high-speed allowance, speed reduction, network management or another restriction stated in the product description.
  • Unless stated otherwise, unused data does not roll over, has no cash value, cannot be transferred and validity periods cannot be paused or extended because of non-use.
  • Usage records supplied by our network and platform partners will be used to determine consumption unless there is clear evidence of an error.
  • Background applications, cloud backups, updates, streaming, tethering and automatic synchronisation may use data without active user input.
13. Acceptable Use
  • The Services must be used lawfully, responsibly and only for legitimate purposes.
  • The Services must not be used for fraud, abuse, deception, spam, malware distribution, unlawful surveillance, intellectual-property infringement or interference with systems or networks.
  • The Customer must not circumvent network restrictions, impersonate others, breach sanctions or telecommunications laws, operate prohibited SIM-box equipment or generate abnormal or excessive automated traffic.
  • Permanent roaming is not permitted where prohibited by an underlying network or supplier.
  • Unauthorised resale or commercial distribution is prohibited.
  • We may investigate suspected misuse and suspend or terminate affected Services without notice where reasonably necessary.
  • No refund is due for Services suspended or terminated because of the Customer’s or an Authorised User’s breach.
14. Prices and Volume Discounts
  • The Customer must pay the price shown in the Business Account, at checkout, in an accepted quotation, on an Order form or in another written pricing agreement.
  • Volume discounts and preferential rates may depend on anticipated or actual purchasing levels.
  • Unless agreed otherwise, discounts apply only during the stated period, are personal to the approved Customer, cannot be combined and do not apply retrospectively.
  • We may revise future pricing where actual purchasing volumes materially differ from the volumes represented by the Customer.
  • We may change prices for future Orders at any time. This will not affect Orders already accepted except in the case of an obvious pricing error or a tax or regulatory requirement.
15. Taxes
  • Prices will be stated as inclusive or exclusive of VAT and other applicable taxes.
  • The Customer must provide accurate billing location, business status and tax registration information.
  • Where required, we may charge VAT, sales tax, GST or another applicable tax.
  • Where reverse-charge treatment applies, the Customer is responsible for providing a valid tax number, supplying evidence of business status and accounting for applicable taxes.
  • The Customer is responsible for customs duties, withholding taxes, banking charges and similar costs imposed outside the United Kingdom unless expressly agreed otherwise.
16. Payment and Credit Terms
  • Unless credit terms have been expressly approved, payment is due in full when the Order is placed.
  • The Customer confirms that it is authorised to use the selected payment method.
  • Where invoice or credit terms are agreed, invoices must be paid by the due date and in the stated currency.
  • The Customer may not withhold, deduct or set off payment except where required by law.
  • Credit limits may be amended or withdrawn at any time and we may require advance payment for further Orders.
  • If an undisputed amount is overdue, we may suspend the account or Services, cancel pending Orders, withdraw discounts or credit facilities and recover reasonable collection costs.
  • We may charge statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998 where applicable.
  • Genuine invoice disputes must be raised promptly with supporting information. Undisputed amounts remain payable.
17. Cancellations, Credits and Refunds
  • The Customer confirms it is contracting as a business. Consumer cooling-off and cancellation rights do not apply.
  • Because eSIMs are digital products, an Order cannot normally be cancelled or refunded once the eSIM, QR code, activation code or installation link has been delivered or made accessible.
  • No refund or credit will normally be issued where the Customer changes its mind, cancels a journey or business requirement, orders the wrong plan, uses an incompatible device, installs the eSIM too early, incorrectly configures the device or deletes the eSIM.
  • No refund or credit will normally be issued because data was used more quickly than expected, the eSIM was unused, a preferred network or speed was unavailable, or coverage was poor in a particular building or location.
  • The Customer should contact support while the relevant Data Plan remains active and before deleting the eSIM.
  • Where an eSIM is demonstrably defective because of an error attributable to SimplySIM or its provisioning platform, our first remedy may be troubleshooting, reconfiguration, reprovisioning, replacement or account credit.
  • A refund will be considered where we cannot provide a reasonable remedy or where required by law.
18. Support
  • Support is available through the contact methods published on our Website or specified in a separate agreement.
  • The Customer must provide the relevant Order number or eSIM identifier, device details, location, a clear explanation of the issue and any reasonably requested screenshots or diagnostic information.
  • The Customer and Authorised Users must follow reasonable troubleshooting instructions.
  • We may be unable to investigate an issue after the Data Plan has expired, the eSIM has been deleted or the device is no longer available.
  • Response-time commitments, priority support, dedicated account management or service levels apply only where expressly confirmed in writing.
19. Data Protection and Privacy
  • Each party must comply with applicable data-protection law, including the UK GDPR and Data Protection Act 2018, where applicable.
  • Our handling of personal information is described in our Privacy Policy.
  • The Customer is responsible for having a lawful basis to provide personal data, create administrator accounts, allocate eSIMs, access usage information and communicate with Authorised Users about the Services.
  • The Customer must provide any privacy notices required for its employees, workers, contractors or other users.
  • The Customer must not send us sensitive or unnecessary personal data through support channels.
  • Where required, the parties may enter into a separate written data-processing agreement.
20. Confidentiality
  • Each party must protect confidential commercial, technical, financial and operational information received from the other.
  • Confidential information may be used only for supplying or receiving the Services and may be disclosed only to people who need to know it and are subject to suitable confidentiality duties.
  • This obligation does not apply to information that is public through no breach, lawfully known beforehand, lawfully received without restriction or independently developed.
  • Confidentiality obligations continue for three years after termination. Trade secrets and personal data remain protected for as long as required by law.
21. Intellectual Property
  • All intellectual-property rights in the Website, Business Account, platform, branding, software, documentation and processes belong to SimplySIM or our licensors.
  • We grant the Customer a limited, non-exclusive, non-transferable and revocable right to use the Business Account solely for receiving and managing the Services.
  • The Customer must not copy, modify, reverse engineer, extract source code, remove proprietary notices, scrape platform data, interfere with security or use our trade marks without permission.
  • The Customer retains ownership of its own business names, marks, content and information.
22. Third-Party Services
  • The Services depend on third-party networks, roaming operators, payment providers, cloud services and eSIM platforms.
  • We are not responsible for independent third-party acts or omissions, local blocking, manufacturer systems, separate applications or services purchased from another provider.
  • We may replace suppliers or network arrangements where reasonably necessary to continue or improve the Services.
23. Suspension
  • We may suspend all or part of the Services where payment is overdue, a credit limit is exceeded, we suspect fraud or misuse, there is a security risk, or the Customer breaches these Business Terms.
  • We may also suspend Services where required by law, a regulator, a supplier or a network, or where maintenance or emergency work is necessary.
  • Where reasonably possible, we will provide notice and an opportunity to remedy the issue. Immediate suspension may occur where urgent action is necessary.
  • Suspension does not remove the Customer’s obligation to pay amounts already due.
24. Term and Termination
  • These Business Terms apply from the date the Business Account or first business Order is accepted and continue until terminated.
  • Either party may terminate an open-ended Business Account by written notice.
  • Termination does not automatically cancel an accepted Order or create a refund for delivered eSIMs.
  • We may terminate immediately for material or repeated breach, non-payment, insolvency, fraud, unlawful use, serious security risk or sanctions restrictions.
  • On termination, account access may end, unpaid amounts become immediately due and the Customer must stop using our confidential information and intellectual property.
  • Provisions intended to survive termination remain in force.
25. Warranties
  • Each party warrants that it has authority to enter into the contract.
  • We will provide the Services with reasonable care and skill.
  • To the fullest extent permitted by law, the Services are supplied on an “as available” basis.
  • We do not warrant uninterrupted or error-free connectivity, coverage in every location, any specific speed or network technology, or suitability for every business requirement.
  • The Customer is responsible for deciding whether the Services are suitable for its intended use.
26. Limitation of Liability
  • Nothing in these Business Terms excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any liability that cannot legally be excluded.
  • Subject to the above, neither party is liable for loss of profit, revenue, sales, anticipated savings, goodwill, business opportunity, data, business interruption or indirect or consequential loss.
  • SimplySIM is not liable for loss caused by an unsupported device, incorrect installation, deletion of an eSIM, an Authorised User, a third-party network outside our reasonable control, or use for emergency or safety-critical purposes.
  • We are not liable for unauthorised access caused by the Customer’s failure to secure its account or for failure to follow instructions or promptly report a problem.
  • Our total aggregate liability arising from an individual Order will not exceed the greater of the amount paid or payable for the affected Order or £500.
  • Where a claim relates generally to the Business Account, our total aggregate liability in any 12-month period will not exceed the total amount paid by the Customer to SimplySIM during that period.
27. Customer Indemnity
  • The Customer will indemnify SimplySIM against reasonable losses, liabilities, claims, penalties and costs arising from unlawful use, unauthorised resale, infringement of third-party rights, breach of data-protection obligations, fraudulent information or material breach of these Business Terms.
  • This indemnity does not apply to the extent that a loss was caused by SimplySIM’s negligence, wilful misconduct or breach.
28. Events Outside Reasonable Control
  • Neither party is liable for delay or failure caused by circumstances outside its reasonable control.
  • This includes network outages, supplier failures, internet failures, natural disasters, severe weather, war, terrorism, civil disorder, epidemics, governmental action, sanctions, labour disputes, power failures, cyberattacks and telecommunications failures.
  • The affected party must take reasonable steps to reduce the impact.
  • If the event continues for a prolonged period and materially prevents performance, either party may terminate the affected ongoing Services by written notice.
29. Compliance, Sanctions and Export Controls
  • Each party must comply with applicable laws and regulations.
  • The Customer confirms that neither it nor, to its knowledge, its relevant owners or intended users are prohibited from receiving the Services under applicable sanctions or trade restrictions.
  • The Services must not be exported, transferred or made available in breach of sanctions, export controls or other legal restrictions.
  • We may request compliance information and refuse or suspend supply where reasonably necessary.
30. Anti-Bribery and Modern Slavery
  • Each party must comply with applicable anti-bribery, anti-corruption and modern-slavery laws.
  • The Customer must not offer, request, give or accept an improper financial or other advantage in connection with the Services.
  • We may terminate immediately if we reasonably believe the Customer has committed a serious breach of this section.
31. Notices
  • The Customer must keep its contact details current.
  • Notices may be sent by email, through the Business Account, by post to the supplied business address or through another agreed written method.
  • Notices to SimplySIM should be sent to support@simplysim.co.uk.
  • An email notice is deemed received on the next business day unless the sender receives a delivery-failure notification.
32. Changes to these Business Terms
  • We may update these Business Terms to reflect legal, regulatory, security, supplier, operational or commercial changes.
  • The updated version will be published on our Website with a revised “Last Updated” date.
  • Material changes affecting an ongoing Business Account will be notified by email or through the account where reasonably practicable.
  • Changes generally apply to Orders placed after the effective date, except where a change must apply to an existing Service for legal, regulatory, security or supplier reasons.
33. Assignment and Subcontracting
  • The Customer may not assign, transfer or subcontract its rights or obligations without our written consent.
  • We may assign or transfer our rights and obligations to a group company, purchaser of our business or another provider capable of performing the Services.
  • We may use subcontractors and third-party suppliers to provide parts of the Services.
34. No Partnership or Agency
  • Nothing in these Business Terms creates a partnership, joint venture, employment relationship, fiduciary relationship or agency between the parties.
  • Neither party may bind the other or make commitments on the other’s behalf unless expressly authorised in writing.
35. Third-Party Rights
  • Except for permitted successors and assigns, no person who is not a party to the contract may enforce it under the Contracts (Rights of Third Parties) Act 1999.
  • Authorised Users do not acquire separate contractual rights against SimplySIM under these Business Terms.
36. Waiver and Severability
  • A failure or delay in enforcing a right does not waive that right.
  • If a court finds any provision invalid or unenforceable, it will be removed or limited to the minimum extent necessary and the remaining provisions will continue in effect.
37. Entire Agreement
  • The contract constitutes the entire agreement between the parties regarding the relevant Services and replaces previous discussions, statements and understandings relating to them.
  • Each party acknowledges that it has not relied on a statement not expressly included in the contract.
  • Nothing in this section limits liability for fraud or fraudulent misrepresentation.
38. Governing Law and Jurisdiction
  • These Business Terms and any dispute or claim arising from them are governed by the laws of England and Wales.
  • The courts of England and Wales have exclusive jurisdiction, except that SimplySIM may seek urgent protective or enforcement measures in another jurisdiction where reasonably necessary.
39. Complaints and Contact Details

Business Customers should raise questions, service issues or complaints using our published support channels. Please include the business name, account email address, Order number, relevant eSIM identifier, destination, device details, a description of the issue and the resolution requested.
